Terms of Service

1. Acceptance of Terms

By accessing or using NoLiens's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

NoLiens provides preliminary notice preparation, filing, and delivery services for construction projects. Our services include:

  • Automated preliminary notice document generation
  • Document review for completeness, spelling, and grammar
  • Electronic and certified mail delivery services
  • Project and party information research (where available)
  • Tracking and compliance notifications

IMPORTANT: NoLiens is not a law firm and does not provide legal advice. We do not practice law or provide legal counsel. Our services are limited to document preparation and administrative filing assistance. For legal advice regarding your specific situation, please consult with a licensed attorney.

3. User Responsibilities

3.1 Information Accuracy

You are solely responsible for the accuracy and completeness of all information you provide to NoLiens. This includes, but is not limited to:

  • Project addresses and descriptions
  • Party names and contact information
  • Contract amounts and dates
  • Notice deadlines and requirements

3.2 Compliance with Laws

You are responsible for ensuring that your use of NoLiens's services complies with all applicable federal, state, and local laws, including construction lien law requirements in your jurisdiction.

3.3 Document Review

While NoLiens reviews documents for completeness, spelling, and grammar, you are ultimately responsible for reviewing all generated documents before submission to ensure they meet your specific legal requirements.

4. Service Limitations and Disclaimers

4.1 Jurisdictional Variations

Construction lien laws vary significantly by state and jurisdiction. NoLiens makes commercially reasonable efforts to ensure compliance with state-specific requirements, but we do not guarantee that our documents will satisfy all legal requirements in all jurisdictions.

4.2 Research Services

When NoLiens offers to research or locate party information (such as construction lenders, permit details, or property owner information):

  • Research fees apply regardless of whether the information is successfully located
  • We provide a confidence score for researched information, but cannot guarantee accuracy
  • You retain sole discretion on whether to serve parties identified through research
  • Research availability is limited to certain jurisdictions (currently LADBS for permit lookups)

4.3 No Warranties

NoLiens's services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • Our services will meet your specific requirements
  • Our services will be uninterrupted, timely, secure, or error-free
  • Results obtained from our services will be accurate or reliable
  • The quality of any documents or information will meet your expectations

5. Limitation of Liability

5.1 Liability Cap

In no event shall NoLiens's total liability to you for all damages, losses, and causes of action exceed the amount paid by you to NoLiens for the specific service giving rise to the claim.

5.2 Exclusion of Damages

NoLiens shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business opportunities
  • Loss of lien rights or claim priority
  • Costs of substitute services
  • Loss of data or information

This limitation applies regardless of the legal theory upon which the claim is based, including breach of contract, tort, negligence, strict liability, or otherwise.

5.3 Time Limitation

Any claim arising from NoLiens's services must be brought within one (1) year of the date the claim accrued.

6. Payment and Refund Policy

6.1 Pricing

Service fees are clearly displayed before you complete your order. Fees may include:

  • Base preliminary notice preparation fee
  • Per-party notification fees
  • Research and verification fees (for party lookup services)
  • Delivery fees (certified mail, electronic delivery, etc.)

6.2 Payment Processing

Payment is required before document generation and delivery services are performed. We accept major credit cards and other payment methods as displayed on our platform.

6.3 Access Period

For credit card orders, you have a 5-day access period from the date of purchase to complete your request and provide all necessary information. If you do not complete your request within this period, NoLiens has no obligation to provide refunds.

6.4 Refund Policy

Refunds may be issued at NoLiens's sole discretion in the following circumstances:

  • Service failure due to NoLiens's technical error
  • Duplicate charges
  • Service not rendered due to NoLiens's inability to perform

Refunds will NOT be issued for:

  • User error or inaccurate information provided
  • Research fees where information cannot be located (as disclosed upfront)
  • Services already rendered (documents generated, notices delivered, etc.)
  • Change of mind after service completion

7. Public Records Acknowledgment

IMPORTANT NOTICE: Documents generated through NoLiens's services may become public records when filed with government agencies, recorded with county recorders, or served on parties in accordance with legal requirements.

Once a preliminary notice or other document becomes part of the public record, the information contained therein (including company names, business addresses, claimant names, project details, and claim amounts) is no longer private and is accessible to the public.

NoLiens has no control over information once it becomes part of the public record and bears no responsibility for how such public information is used by third parties.

8. Intellectual Property

8.1 Ownership

All content, materials, software, and technology used to provide NoLiens's services, including but not limited to text, graphics, logos, templates, and code, are the property of NoLiens or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

NoLiens grants you a limited, non-exclusive, non-transferable license to access and use our services for your personal or business use in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works of our materials
  • Reverse engineer our software or technology
  • Remove any copyright or proprietary notices
  • Use our services to build a competing service

8.3 User Content

You retain ownership of information and content you submit to NoLiens. However, by submitting content, you grant NoLiens a non-exclusive, worldwide, royalty-free license to use, reproduce, store, and process your content solely for the purpose of providing our services to you.

9. Prohibited Uses

You agree not to use NoLiens's services:

  • To violate any local, state, federal, or international law
  • To submit false, fraudulent, or misleading information
  • To infringe upon intellectual property rights of others
  • To transmit any harmful code, viruses, or malicious software
  • To harass, abuse, or harm another person or entity
  • To impersonate any person or entity
  • To interfere with or disrupt our services or servers
  • To attempt unauthorized access to any part of our services

Violation of this section may result in immediate termination of your access to NoLiens's services and may expose you to civil and criminal liability.

10. Account Termination

NoLiens reserves the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms of Service
  • Fraudulent or illegal activity
  • Failure to pay fees owed
  • Any conduct that NoLiens determines, in its sole discretion, is harmful to NoLiens or other users

11. Data Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

Key privacy commitments:

  • We NEVER share your personal information with third parties except to fulfill your service orders or as required by law
  • We use industry-standard security measures to protect your data
  • We retain your information for 18 months unless otherwise required by law
  • You have rights to access, correct, or delete your personal information (subject to legal retention requirements)

12. Governing Law and Jurisdiction

12.1 Applicable Law

These Terms of Service and any disputes arising from or relating to NoLiens's services shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

12.2 Venue and Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or NoLiens's services shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You hereby consent to the personal jurisdiction and venue of such courts.

12.3 Waiver of Jury Trial

To the extent permitted by law, you and NoLiens waive any right to a jury trial in any proceeding arising out of or related to these Terms or NoLiens's services.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal claim, you agree to contact NoLiens to attempt to resolve the dispute informally. Please send written notice to: support@noliens.app

13.2 Arbitration Agreement

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Los Angeles, California.

Exceptions to arbitration:

  • Small claims court actions (under jurisdictional limits)
  • Injunctive or equitable relief to protect intellectual property rights

13.3 Class Action Waiver

You and NoLiens agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

14. Modifications to Terms

NoLiens reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending email notification to registered users (when appropriate)
  • Displaying a notice on our platform

Your continued use of NoLiens's services after such modifications constitutes your acceptance of the updated Terms.

15. Indemnification

You agree to indemnify, defend, and hold harmless NoLiens, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of NoLiens's services
  • Your violation of these Terms
  • Your violation of any law or the rights of a third party
  • Inaccurate or fraudulent information you provide

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NoLiens regarding your use of our services and supersede all prior agreements and understandings.

18. No Waiver

NoLiens's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of NoLiens.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder without NoLiens's prior written consent. NoLiens may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.
